Job description

Responsibilities:

  • Lead the company secretariat team of the Group, grow the team to the next level, nurture talent, and bond the team.
  • Lead and organize the company secretariat dimensions of the Group including, but not limited to, organizing a portfolio of companies for the team of Board Secretaries, overseeing that board meetings, committees, and annual meetings of shareholders (AMS) are duly convened, statutory registers are maintained and ensuring that the Group complies with all legal and compliance requirements. 
  • Provide administrative support and guidance to the Boards regarding regulatory matters, complying with statutory duties, and maintaining a strong corporate governance culture. 
  • Develop and administer processes and systems that ensure a good delivery of company secretariat and compliance services. 
  • Oversee the governance requirements of strategic operational projects of the Group, monitoring progress to ensure completion of projects in a timely and efficient manner.
  • Ensure that board procedures and policies are consistently maintained and followed.
  • Assist and offer support in order to ensure that Boards and Committees function efficiently and effectively. 
  • Maintain and manage long-term working relationships and liaise with internal and external regulators and advisors (employees, directors, stakeholders, lawyers, tax advisors, auditors, shareholders, bankers and regulatory authorities, etc)   
  • Monitor relevant policies, legislation, statutory and regulatory changes that might affect the organization are up to date and approved by the committee.
  • Provide legal, compliance, and/or strategic advice.
  • Constantly scan the business environment to identify and manage potential risks to business performance in order to optimize workflow procedures.

Requirements:

  • Law practitioner with experience in company secretariat matters
  • ICSA Level 6 qualified
  • Any other qualifications acceptable to the Company
